Jolliff Joins First Vandalia Corp. as New Director

The Annual Stockholders' meeting of First Vandalia Corp., parent company of The FNB Community Bank, was held on Wednesday, April 22, 2026 at 8th Day Venue in Vandalia, IL. Chair Ann Schwarm welcomed everyone in attendance by stating that we have lots to celebrate including the 160th anniversary of the bank, a long and distinguished career of one of our own, exciting plans for the future and another successful year financially. She then introduced the current directors and corporate officers.

At the Meeting, First Vandalia Corp. announced that Jay B. Jolliff has been promoted to Senior Vice President and has been elected to the Board of Directors. Jolliff brings more than two decades of diversified banking experience spanning trust and investment management, lending, operations, compliance, and enterprise risk oversight.

Jolliff joined The FNB Community Bank in 2008 and has served in multiple leadership roles, most recently as Chief Operating Officer, where he oversees bank operations, strategic initiatives, and organizational performance. After graduating from Patoka High School in 1994, Jolliff earned a Bachelor of Science degree in Accountancy from Southern Illinois University Edwardsville and went on to receive a Master's of Business Administration from Webster University.

Jolliff knows the bank from the inside out having served as a loan officer, head of the trust department, supervisor of the investment center staff and now as a senior vice-president and Chief Operating Officer. His experience in banking is vast and his intimate knowledge of the workings of this bank work together to make Jolliff a valued and trusted fellow decision maker in the boardroom. Along with his intellect and experience, Jolliff brings humility and loyalty to this new role," commented Ann M. Schwarm, chairman, FNB Community Bank Board of Directors.

Jolliff resides in Patoka with his family and is a member of the Sons of the American Legion and Vandalia Rotary Club. Jolliff also serves on the boards of Kaskaskia College Foundation, Friends & Families of SBL Fayette County Hospital and FMC Water Company.

Todd Shulman, Zachary Stombaugh, Adam Braun and Jerry Gaffner were elected to three-year board terms. Jay Jolliff joined the board as a new director and was elected to a one-year term. They join fellow directors Ann Schwarm, Thomas McCarty, Janice Romack, Steve Henna, Dave Lidy and Mark Ritter. At the board meetings, following the annual meeting, Schwarm was re-elected chair of both First Vandalia Corp. and the bank board. Shulman was re-elected vice-chair of the bank board, and McCarty was elected vice-chair of First Vandalia Corp. board.

President Steve Henna stated that the bank and employees worked through the conversion of its operating system during the year. Financially, the bank had another good year with net income in excess $4.6 million, and total assets just under $500 million. Looking ahead, he stated the bank continues to work on plans for a new building to be located at the Banker Blvd. site with ground breaking expected to take place later in 2026. The Bank also recognized the contributions of Sarah Bauer, Meagan Eyman, Paige Lowe and Matt Rovenstine with promotions to Assistant Vice President.

Chair Schwarm presented Mr. Shulman with an engraved gavel to commemorate his fifteen years as Chairman of the Board of both First Vandalia Corp. and The FNB Community Bank. She thanked him for leading the way through a series of transitions and for his continuing contributions to come in the future. Mr. Shulman thanked the Board, shareholders and employees for all they have done to contribute to the success of the company.

Chair Schwarm then told the story of retiring director Randy Edwards who began his career at the bank as a teenager in 1969. After many years of service to our customers, Randy retired from the bank as a vice president and loan officer. After his retirement, Randy was elected to the Board of Directors and just completed his twenty-first year in that position. His retirement from the Board will bring a conclusion to a total of fifty-seven years of service which is more than one-third of the bank's 160 years of operation. After recounting a few stories from Mr. Edward's career, President Henna presented him with a plaque in appreciation for all that he had accomplished during his 57-year association with the organization.

Chartered in 1865, The FNB Community Bank is the sixth oldest bank in Illinois. In June 2019, the bank converted to a state charter and changed its name from the First National Bank to The FNB Community Bank. Along with its main office on Gallatin Street and the Banker Blvd branch in Vandalia, FNB has locations in Greenville, Ramsey, Patoka and Mulberry Grove.
